OFFICERS

Section 1. Officers and Eligibility.
The officers of the Corporation shall be a President, a Vice

President, a Secretary, and a Treasurer. Directors who have served on the Board for at least one (1) year
141
(365 days) are eligible to serve as an officer. Under special circumstances, and by a two-thirds (2/3)
142
majority of the current Board of Directors, the one (1) year requirement may be waived.

Section 2. Election, and Term of Office.
Those persons nominated to be officers of the Corporation

shall be voted upon by current members of the Board of Directors. Elections by secret paper ballot shall
145
take place at the last regular quarterly meeting in each fiscal year. Each officer named herein shall serve
146
for a term of one (1) fiscal year beginning on January 1 to December 1 of the ensuing year, and/or until a
147
qualified successor is elected. Additional Corporation offices may be created and filled or abolished at
148
any meeting of the Board of Directors by two-thirds vote of the Directors present at the meeting.

Section 3. Vacancies.
When the membership of any officer in the Corporation is revoked, expires, or
150
ceases, a vacancy automatically occurs in that office. A vacancy in any office shall be filled by
151
nomination from and a 2/3 vote of the Board of Directors present at the meeting.

Section 4. Removal.
An officer may be removed from any office or committee by the Directors
153
whenever three-fourths (3/4) of the Directors present at a duly constituted meeting determine that the

best interest of the Corporation would thereby be served.

Section 5. President.
The President shall be the principle Executive Officer of the Corporation and
156
shall in general supervise and control all of the business and affairs of the Corporation. The President
157
may sign, with the Secretary or any other proper officer of the Corporation authorized by the Board of
158
Directors, any deeds, mortgages, bonds, contracts, or other instruments which the Board of Directors
159
have authorized to be executed, except in cases where the signing and execution thereof shall be
160
expressly delegated by the Board of Directors or by these Bylaws or by statute to some other office or
161
agent of the Corporation. The President or delegated person shall perform all duties incident to the
162
office of President and such other duties as may be prescribed by the Board of Directors.

Section 6. Vice President.
In the absence of the President or in the event of the President's inability or
164
refusal to act, the Vice President shall perform the duties of the President and when so acting shall have
165
all powers of and be subject to all restrictions upon the office of the President. The Vice President shall
166
perform such other duties as may be assigned by the President or by the Board of Directors.

Section 7. Treasurer.
The Treasurer shall supervise all duties incident to office of Treasurer and such
168
other duties as may be assigned by the President or Board of Directors. The Treasurer shall give or cause
169
to be given notices in accordance with the provisions of these Bylaws or as required by law.
